When signing a contract, you hope to put it away and never need to refer to it again. In a perfect world all parties to a contract perform their obligations and no one ever needs to refer back to the contract. But in the event something goes wrong, it’s very important to make certain the terms of the Agreement protect your interests in clear and precise wording.

There are no simple forms where you fill in the blanks that protect your interests under all contingencies. As your attorney, I prepare for all contingencies and provide solutions to address those situations in the event one of the parties fails to perform. Often, those who are in business will state: “Attorneys are there to ruin the deal.” Having been an entrepreneur and having been general counsel for businesses I understand that a contract is important, but if terms are so stringent from one side to the other, it can cause an otherwise good deal to fall apart. Any attorney knows they are there to protect their client and if they do not keep that front of mind, the client can suffer. At the same time an attorney should understand what the client wants to achieve and assist them in achieving that while protecting them. If there is a point where the attorney feels the two are in conflict – either get the deal the client wants done or protect the client, the attorney is obligated to tell the client of the conflict.
